1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the products, websites, and services provided by Kelk, Inc. ("Kelk", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Kelk provides a unified revenue platform that includes pipeline management, forecasting, conversation intelligence, customer success, and operations features. We may modify, add, or remove features from time to time.

3. Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized access.

4. Subscriptions and Billing

Paid Services are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes apply at the start of the next billing cycle. Late payments may result in suspension.

5. Acceptable Use

You agree not to:

• Use the Services to violate any law or third-party right;
• Reverse engineer, decompile, or attempt to extract source code, except as permitted by law;
• Probe, scan, or test the vulnerability of the Services without authorization;
• Send spam, malware, or otherwise abuse the Services or other users;
• Resell or sublicense the Services without our written consent.

6. Intellectual Property

The Services, including all software, design, and content provided by Kelk, are owned by Kelk and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Customer Data

You retain all rights to data you submit to the Services ("Customer Data"). You grant Kelk a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide and improve the Services. We process Customer Data in accordance with our Privacy Policy.

8. Confidentiality

Each party agrees to protect the other's confidential information using at least the same standard of care it uses for its own, and to use such information only as needed to perform under these Terms.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Kelk's aggregate liability arising out of or relating to these Terms or the Services will not exceed the amounts paid by you to Kelk in the twelve months preceding the claim. In no event will Kelk be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Services ends immediately, and we may delete Customer Data after a reasonable retention period.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state and federal courts located in Delaware, and the parties consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
